UpdatedOffers.com Membership Agreement
| Please read the following terms carefully before completing the registration process. By signing up and using UpdatedOffers.com, you agree to all terms and conditions set forth in this agreement. At any time UpdatedOffers.com has the right to edit, add and/or delete portions of this agreement and impose changes without prior notification to our members. Our members will be informed of any and all changes to this policy via an email to their primary contact email address provided upon signing up with UpdatedOffers.com and/or posted on the web site. If any modification is unacceptable to you, your only recourse is to terminate this agreement. Your continued participation on UpdatedOffers.com following our posting of a change in policy notice or new agreement on our site will constitute binding acceptance to the change. If at any point you do not agree with our Terms of Service, you must request to have your account deleted. Anyone determined by UpdatedOffers.com administrators to have violated these Terms will be banned from UpdatedOffers.com without any obligation by UpdatedOffers.com to redeem any money earned or purchased advertisements. Similarly, UpdatedOffers.com has no obligation to supply prior notice to a member or advertiser or to supply an explanation. All members and advertisers agree to use this service at their own discretion. |
Eligibility
| You must be 18 years of age or older to participate on UpdatedOffers.com. UpdatedOffers.com is open to the United States and International members and is void where prohibited by local governing laws. |
Responsibility of members
| You agree to and must use your own name and email address in the sign up process and may not assume a false identity. You may not sign up multiple times with different email addresses. Your computer must not be shared with another individual that has an existing UpdatedOffers.com account. UpdatedOffers.com is limited to one account per household. You will use your username and password to access your account, it is your responsibility to keep this information confidential. You may change your password by logging into your account and following the "My Account" link. You are solely responsible for any and all use of your UpdatedOffers.com account, including authorization by you to any third party individual who may use your account. Any unauthorized access to your account should be reported immediately. Should UpdatedOffers.com detect any instances of fraud, system abuse, or any type of activity deemed to be inappropriate or illegal in the sole discretion of UpdatedOffers.com, these actions will result in account termination and possible legal action as well as forfeiture of any earned money not yet disbursed to you from UpdatedOffers.com. You must maintain your email account that you have on record with UpdatedOffers.com. In the event your email account we have on record becomes closed or blocks an email from us, your account will be terminated. This especially applies to email accounts returned for being full. Any member found to be sending unsolicited messages by any means, including but not limited to email messages, forum posts and text messages will have their account terminated. Furthermore, any member that sends threatening, offensive, spam or otherwise abusive emails to our staff will have their account terminated and forfeiture of all earnings. |
Relationship of the parties
| You and UpdatedOffers.com are independent contractors, and nothing in this agreement creates any partnership, joint venture, agency, franchise, sales representative or employment relationship between you and UpdatedOffers.com. You understand that you do not have authority to make or accept any offers or make any representations on behalf of UpdatedOffers.com. You may not make any statement, whether on your site or otherwise, that would contradict anything in this section. You assume full responsibility for any taxable income earned. If your country's law requires it, you agree to declare your income to the relevant governmental authorities. |
Limitation of liability
| UpdatedOffers.com will not be liable for lost profits, lost business opportunities, or any other indirect, special, punitive, incidential or consequential damages arising out of or related to this agreement or the UpdatedOffers.com web site, even if UpdatedOffers.com has been advised of the possibility of such damages. Futhermore, UpdatedOffers.com aggregate liability arising under this agreement will not exceed the amount of the total fees paid or payable to you under this agreement. The provisions of this section survive termination or expiration of the agreement. We make no express or implied warranties or representations with respect to the member program or any services or other items advertised through UpdatedOffers.com (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the opertation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. |
Indemnification
| You herby agree to indemnify, defend and hold harmless UpdatedOffers.com, its officers, directors, employees, agents, members, successors and assigns, from and against any and all claims, losses, liabilities, damages or expenses (including attorney's fees and costs) of any nature whatsoever incurred or suffered by us (collectively the "Losses"). |
Third party web sites
| UpdatedOffers.com may now, or hereafter from time to time, contain links to third-party web sites. We do not control, investigate, monitor or check such web sites. We are not responsible for the computer programs available from, content in or opinions expressed at such web sites, and we do not investigate, monitor or check them. We provide such third-party links only as a convenience to visitors of the site, and the inclusion of a link does not imply approval or endorsement of the linked site by us. If you decide to leave the site and access any third-party web site, you do so at your own risk. |
Information rights
| UpdatedOffers.com may retain and use, (subject to the terms of UpdatedOffers.com Privacy Policy) all information you provide, including but not limited to site demographics and contact or billing information. You agree that UpdatedOffers.com may transfer and disclose to third parties personally identifiable information about you for the purpose of approving and enabling your participation in the program, including to third parites that reside in jurisdictions with less restrictive data laws than your own. UpdatedOffers.com may also provide information in response to valid legal process, such as subpoenas, search warrants and court orders, or to establish or exercise its legal rights or defend against legal claims. UpdatedOffers.com disclaims all responsibility, and will not be liable to you, however, for any disclosure of that information by any such third party. UpdatedOffers.com may share non-personally identifiable information about you, including site URLs, site-specific statistics and similar information collected by UpdatedOffers.com, with advertisers, business partners, sponsors, and other third parties. In addition, you grant UpdatedOffers.com the right to access, index and cache the site or sites, or any portion thereof, including by automated means. Members and advertisers acknowledge and agree that their information (name, URL, etc.) may be used by UpdatedOffers.com for other pages on the site, including but not limited to referral competitions, contests and raffles, etc. |
Payments
| Members may earn by visiting the advertisers websites after they have logged into their UpdatedOffers.com account. Members also have the opportunity to earn by referring new members to UpdatedOffers.com. Members will be paid all earnings requested by PayPal, or other methods announced by UpdatedOffers.com when their balance reaches the minimum payout rate set by UpdatedOffers.com and agreed upon by you the member. All eligible payment disbursements are made within 7 business days, starting the day you request payment, or a reasonable time after. Any payouts due you will not be deemed "owed" until you reach the necessary payout amount. You can only request one payment at a time. Should your UpdatedOffers.com account incur no activity for a period of 180 consecutive days your account will be terminated and any earnings you currently have will be forfeited. |
Spam policy
| You may not promote your referral link through unsolicited emailing, newsgroup postings, or any other method of mass communication. Failure to comply will result in immediate termination of your UpdatedOffers.com account, and may result in legal prosecution. UpdatedOffers.com strictly enforces anti-spamming laws. Spamming is a federal crime. Any member caught spamming will not only have their account terminated immediately and lose any past, present and future earnings, but shall also be held liable for spamming as we shall cooperate with any authorities and investigations that may arise from the spamming incident. UpdatedOffers.com may also fine your account up to $5 per spam email reported from your email address. |
Account abuse
| Multiple registrations shall be grounds for immediate termination of all involved accounts. Registering multiple accounts from the same IP address or from the same computer also constitutes fraud. Any use of internet bots, also known as web robots or simply "bots", would be grounds for immediate termination of your UpdatedOffers.com account. Bots are software applications that run automated tasks over the internet. Typically, bots perform tasks that are both simple and structurally repetitive, at a much higher rate than would be possible for a human editor alone. UpdatedOffers.com may file charges for recovery of any earnings received from multiple registrations or any other type of fraud or abuse outlines within this membership agreement. This conduct will result in forfeiture of any earnings you have generated. It is agreed between the member and UpdatedOffers.com that determining the specific dollar amount of damages sustained to the reputation of UpdatedOffers.com as a result of the fraudulent actions of either our advertisers or our members would be in some cases difficult to prove. UpdatedOffers.com takes our obligation to protect our advertisers seriously, to be sure they are getting the true value of their investment dollars. For that reason, any breach of this agreement would automatically result in liquidated damages of $1500 in addition to any actual damages sustained by UpdatedOffers.com. UpdatedOffers.com reserves the right in their discretion to suspend an account upon investigation and conclusion that a fraudulent or deceptive act is occuring or likely to occur. |
Account termination
| If for any reason stated in the terms your account is terminated, all earnings will be forfeited. You will not receive a refund or be reimbursed in any way for anything you have paid UpdatedOffers.com for, including but not limited to advertising, premium memberships, etc. Upon termination all current advertising you have with UpdatedOffers.com will also be removed. |
Premium Membership Policies
| Premium memberships are non-refundable. Each membership is good for one person. Premium members must still follow all rules as posted on the Terms of Service page. Premium memberships cannot be transferred to a family member or friend. Requesting to terminate your account will terminate your premium membership. UpdatedOffers.com reserves the right to revoke memberships at any time, modify all aspects of the premium membership program, and/or shut down the entire site or a specific portion of the site at any time without prior notice. Members will not get refunds for such shut downs. Your subscription is personal to you, and you may not transfer or make available your account name and password to others, including without limitation the members of your household, your family and/or co-workers. Any distribution by you of your account name and password may result in cancellation of your subscription without refund and in additional charges based on unauthorized use. |
Miscellaneous
| This Agreement will be governed by the laws of the United States of America, without reference to rules governing choice of laws. Any action relating to this member agreement or any products or services of UpdatedOffers.com must be brought to the state court in Columbus, Ohio and you irrevocably consent to the jurisdiction of such courts. You may not assign this member agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this member agreement will be binding, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this member agreement. |
Legal
| This is a legal binding agreement between you and UpdatedOffers.com and by clicking the "Create Account" button on the registration form, you are bound by the terms stated herein. Please read this entire agreement carefully before accepting its terms. |
